By creating an account, integrating the topadroi SDK, or sending data to the topadroi Service, you ("Customer", "you") agree to these Terms of Service ("Terms") with Light Nova Design Co., Ltd., trading as topadroi ("topadroi", "we", "us"), operator of topadroi.com.
Service — topadroi's hosted server-side event collection, conversion measurement, and multi-platform event-forwarding platform, including APIs and dashboards. SDK — topadroi's client libraries; the SDK source code is licensed under Apache-2.0, but use of the SDK to transmit data to the Service is governed by these Terms. Customer Data — data you collect via the SDK/APIs and transmit to the Service. End User — an individual user of your application or website.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service and integrate the SDK. The SDK source code is additionally available under the Apache License 2.0; nothing in that license limits your obligations under these Terms when using the SDK with the Service. We may modify, suspend, or discontinue features with reasonable notice.
As between the parties, you own Customer Data. You grant us a limited, non-exclusive, royalty-free, revocable license to host, process, and transmit Customer Data solely to provide the Service (including forwarding events to the platforms you configure). You are solely responsible for the accuracy, content, and legality of Customer Data and your configured destinations.
You represent, warrant, and covenant that you will, at your own expense:
Your use is subject to the Acceptable Use Policy. We may suspend or terminate access for violations.
For personal data processed via the Service, you act as the data controller and topadroi acts as a data processor on your behalf. The Data Processing Addendum is incorporated into these Terms. Our handling of data is described in the Privacy Policy.
The Service is offered on a free tier and paid plans. Fees and plan specifications (including event, site, and destination limits, features, and quotas) are as presented at sign-up or in an order form. We reserve the right, in our sole discretion, to add, modify, suspend, discontinue, re-price, or change the limits and specifications of any plan, feature, or the Service itself at any time. For free-tier and beta features, changes may take effect immediately. For paid subscriptions, price increases and material reductions to your plan take effect at the start of your next billing cycle, and we will provide reasonable advance notice of material changes. Your continued use of the Service after a change takes effect constitutes acceptance; if you do not agree, your sole remedy is to stop using the Service and cancel.
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 10 days of written notice. We may suspend or terminate immediately for AUP violations, security risk, or non-payment. On termination you must remove the SDK within 30 days; we are under no obligation to continue collecting, processing, or retaining Customer Data after termination and may delete it per the DPA and our retention schedule.
THE SERVICE AND SDK ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPADROI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant any particular outcome, attribution accuracy, conversion match rate, deliverability to any third-party platform, or that the Service will be uninterrupted or error-free.
You will defend, indemnify, and hold harmless topadroi, its affiliates, and the SDK/repository owner from third-party claims, damages, losses, and costs (including reasonable legal fees) arising from: (a) Customer Data; (b) your failure to obtain required notices/consents; (c) your breach of these Terms or the AUP; or (d) your violation of any law or third-party platform policy. Each party will indemnify the other for claims arising from its gross negligence or willful misconduct.
EXCEPT FOR INDEMNIFICATION AND BREACHES OF CONFIDENTIALITY, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. Each party's total aggregate liability is capped at the greater of (a) the amounts you paid us in the three (3) months before the event giving rise to liability, or (b) US$100.
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.
These Terms are governed by the laws of the Republic of China (Taiwan), without regard to conflict-of-laws rules, and you submit to the exclusive jurisdiction of the Taiwan Taipei District Court as the court of first instance (mandatory consumer-protection venue rules, where applicable, prevail). Any claim must be brought within one (1) year of the event giving rise to it, or be permanently barred.
We may update these Terms; material changes will be notified, and continued use constitutes acceptance. You may not assign without our consent; we may assign to an affiliate or successor. If any provision is unenforceable, the remainder stays in effect. These Terms, the AUP, the DPA, and the Privacy Policy are the entire agreement regarding the Service.
